Class action over 3M Corp. merger with Ceradyne settles for $11.3 million

Most of the money is to go to Ceradyne shareholders, who alleged that the company’s board of directors breached their fiduciary duties by intentionally disregarding Ceradyne’s “intrinsic worth” and selling it to 3M “for a knowingly unfair price.”

SANTA ANA — A class action over 3M Corp.’s 2012 merger with Ceradyne Inc. has settled for $11.3 million.

Most of the money is to go to Ceradyne shareholders, who alleged that the company’s board of directors breached their fiduciary duties by intentionally disregarding Ceradyne’s “intrinsic worth” and selling it to 3M “for a knowingly unfair price.”
