Delaware Court Deems California Statute Unfair

May 5), a decision sure to have repercussions for California corporate law, the Delaware Supreme Court affirmed the Delaware Court of Chancery's decision refusing to apply Section 2115 of the California Corporations Code, finding that it violates the U.S. Constitution.
