Dorsey & Whitney: MERGER BRINGS SURGERY, SNORING UNDER SAME ROOF
Sunnyvale's Somnus Medical Technologies and Cardiff, England's, Gyrus Group have agreed to merge. Under the terms of the agreement, surgical instrument company Gyrus will make a cash tender offer of approximately $55.7 million for Somnus' outstanding common stock. After the tender offer is completed, Gyrus will acquire the remaining untendered shares of common stock through a merger of a wholly owned subsidiary of Gyrus into Somnus.
