Baral and Schnitt co-own a business, and (it is alleged) Schnitt figuratively tries to make off with it under the cover of darkness. He files papers with the secretary of state and executes an operating agreement identifying himself as the sole managing member. He sells off most of the company without Baral's knowledge or consent, retaining a management and ownership position for himself. And he commissions an auditor's report that falsely casts Baral in a bad light.
