Judge: Cannabis company buyout suit belongs in Delaware

“Defendants’ motion is based on a forum selection clause found in Eaze’s articles of incorporation. The clause applies here … because it asserts claims for breach of a merger agreement and breach of good faith and fair dealing, which … should be heard by the Delaware Court of Chancery,” Judge Curtis E.A. Karnow wrote.

A San Francisco judge tossed a lawsuit against a San Francisco cannabis delivery service filed by the owners of a Colorado cannabis grower accusing the delivery company of lying about its financial health when it bought out the grower.

Superior Court Judge Curtis E.A. Karnow on Friday declined the plaintiffs’ request for further briefing and found that the case belongs in Delaware.
